§ 1 Geltungsbereich Stand: 01.01.2025
1. Alle Lieferungen- Leistungen und Angebote des Verkäufers erfolgen ausschließlich aufgrund dieser allgemeinen Lieferbedingungen. Diese sind Bestandteil aller Verträge, die der Verkäufer mit seinen Vertragspartnern (nachfolgend auch „Auftraggeber“ genannt) über die von ihm angebotenen Lieferungen oder Leistungen schließt. Sie gelten auch für alle zukünftigen Lieferungen, Leistungen oder Angebote an den Auftraggeber, selbst wenn sie nicht nochmals gesondert vereinbart werden.
2. Terms and conditions of the client or third parties shall not apply. Even if the seller refers to a letter containing or referring to the terms and conditions of the client or a third party, this does not constitute agreement with the validity of those terms and conditions. General terms and conditions of the client or third parties shall only be deemed to be part of the contract if they have been expressly recognized by the seller in writing.
3. In addition to these terms and conditions, the relevant statutory provisions, trade practices, guidelines and conditions of the respective trade association shall apply in their respective valid and current version, unless they deviate from the following terms and conditions and unless otherwise agreed.
§ 2 Offer and conclusion of contract
1. All offers of the seller and cost estimates or the order letters of our customers are subject to change and non-binding until we have confirmed the order in writing.
2. If a purchase contract is concluded verbally or by telephone, the content of the written confirmation letter shall be authoritative unless the recipient objects immediately. Additions and amendments to the agreements made, including these terms and conditions, must be made in writing to be effective.
3. Information provided by the seller on the object of the delivery or service (e.g. weight, dimensions, use) as well as our representations of the same (e.g. drawings and illustrations) are only approximate unless the usability for the contractually intended purpose requires exact conformity. They are not guaranteed characteristics, but descriptions or identifications of the delivery or service. Customary deviations are permissible insofar as they do not impair usability for the contractually intended purpose.
§ 3 Prices and payments
1. The prices apply to the scope of services and delivery listed in the order confirmations. Additional or special services shall be invoiced separately. The prices are quoted in USD ex works plus packaging, statutory VAT, customs duties for import and export deliveries as well as fees and other public charges.
2. If the agreed prices are based on the Seller's list prices and delivery is to take place more than four months after conclusion of the contract, the Seller's list prices valid at the time of delivery shall apply (less any agreed percentage or fixed discount). Unless otherwise agreed in writing, the purchase price is generally due for payment 10 days after receipt of the order.
3. Interest on arrears: After default has occurred, interest shall be charged at a rate of 8 percentage points above the respective base interest rate. The assertion of higher interest and further damages in the event of default shall remain unaffected. In addition, all reminder and collection fees shall be borne by the client. In the event of default, we shall also be entitled to withhold our services or withdraw from the contract. In this case, the client shall reimburse us for all costs incurred as a result (previous expenses) as well as the loss of profit.
4. Offsetting against counterclaims of the client or the withholding of payments due to such claims is only permitted if the counterclaims are undisputed or have been legally established.
5. The Seller shall be entitled to execute or render outstanding deliveries or services only against advance payment or provision of security if, after conclusion of the contract, it becomes aware of circumstances which are likely to significantly reduce the creditworthiness of the Client and which jeopardize the payment of the Seller's outstanding claims by the Client arising from the respective contractual relationship (including from other individual orders to which the same framework agreement applies).
§ 4 Delivery and delivery time
1. Deliveries are ex works (CNF port of Rotterdam, Hamburg or ex warehouse Ludwigsburg/Markgröningen)
2. Deadlines and dates for deliveries and services promised by the seller are always only approximate, unless a fixed deadline or a fixed date has been expressly promised or agreed. If shipment has been agreed, delivery periods and delivery dates refer to the time of handover to the forwarding agent, carrier or other third party commissioned with transportation.

Der Verkäufer kann – unbeschadet seiner Rechte aus Verzug des Auftraggebers – vom Auftraggeber eine Verlängerung von Liefer- und Leistungsfristen oder eine Verschiebung von Liefer- und Leistungsterminen um den Zeitraum verlangen, in dem der Auftraggeber seinen vertraglichen Verpflichtungen dem Verkäufer gegenüber nicht nachkommt.
4. The Seller shall not be liable for impossibility of delivery or for delays in delivery if these are caused by force majeure or other events that were not unforeseeable at the time the contract was concluded (e.g. operational disruptions of all kinds, transport delays, strikes, lawful lockouts, shortages of labor, energy or raw materials, difficulties in obtaining necessary official permits, official measures or the failure of suppliers to deliver or to deliver correctly or on time) for which the Seller is not responsible. If such events make delivery or performance significantly more difficult or impossible for the seller and the hindrance is not only of a temporary nature, the seller is entitled to withdraw from the contract. In the event of hindrances of a temporary nature, the delivery or performance deadlines shall be extended or the delivery or performance dates postponed by the period of the hindrance plus a reasonable start-up period. If the Client cannot reasonably be expected to accept the delivery or service as a result of the delay, it may withdraw from the contract by immediate written declaration to the Seller.
5. If the Seller is in default with a delivery or service or if a delivery or service becomes impossible for whatever reason, the Seller's liability for damages shall be limited in accordance with § 7 of these General Terms and Conditions of Delivery.
§ 5 Place of fulfillment, shipping, packaging, transfer of risk, acceptance
1. The place of performance for all obligations arising from the contractual relationship shall be the Seller's business premises in Stuttgart, unless otherwise agreed.
2. The place of jurisdiction for any disputes arising from the business relationship between the seller and the customer shall be Stuttgart or the customer's registered office, at our discretion. Stuttgart shall be the exclusive place of jurisdiction for legal action against the seller. Mandatory statutory provisions on exclusive places of jurisdiction shall remain unaffected by this provision.
3. The risk shall pass to the customer at the latest when the delivery item is handed over (whereby the start of the loading process is decisive) to the forwarding agent, carrier or other third party designated to carry out the shipment. This shall also apply if partial deliveries are made or if the seller has assumed other services (e.g. shipping). If the shipment or handover is delayed due to a circumstance for which the Client is responsible, the risk shall pass to the Client from the day on which the Seller is ready for shipment and has notified the Client of this.
4. Storage costs after the transfer of risk shall be borne by the customer. In the case of storage by the Seller, the storage costs shall amount to 0.25 % of the invoice amount of the delivery items to be stored per week elapsed. We reserve the right to claim and prove further or lower storage costs.
5. The seller shall only insure the consignment against theft, breakage, transport, fire and water damage or other insurable risks at the express request of the customer and at the customer's expense.
§ 6 Warranty
1. The warranty period is based on the best-before date of the goods delivered by the seller.
2. The delivered items must be carefully inspected immediately after delivery to the customer or to the third party designated by the customer. They shall be deemed approved if the Seller has not received a written notice of defects with regard to obvious defects or other defects which were recognizable during an immediate, careful inspection within seven working days after delivery of the delivery item or otherwise within seven working days after discovery of the defect or the time at which the defect was recognizable to the Client during normal use of the delivery item without closer inspection. At the Seller's request, the rejected delivery item shall be returned to the Seller carriage paid. In the event of a justified notice of defects, the Seller shall reimburse the costs of the most favorable shipping route; this shall not apply if the costs increase because the delivery item is located at a place other than the place of intended use.
3. Further claims, such as claims for damages, claims for consequential damages, etc., are only granted subject to the limitations of § 7 of these General Terms and Conditions.
§ 7 Liability for damages due to fault
1. The Seller's liability for damages, irrespective of the legal grounds, in particular due to impossibility, delay, defective or incorrect delivery, breach of contract, breach of obligations during contract negotiations and tort, shall be limited in accordance with this § 7 insofar as fault is involved.
2. The seller is not liable
a) in the event of simple negligence on the part of its bodies, legal representatives, employees or other vicarious agents;
b) in the event of gross negligence on the part of its non-executive employees or other vicarious agents, insofar as this involves a breach of material contractual obligations. Material contractual obligations are the obligations to deliver on time and free of defects, which are intended to enable the client to use the delivery item in accordance with the contract or to protect the life and limb of persons of the client or third parties or the property of the client from significant damage.
a) in the event of simple negligence on the part of its bodies, legal representatives, employees or other vicarious agents;
b) in the event of gross negligence on the part of its non-executive employees or other vicarious agents, insofar as this involves a breach of material contractual obligations. Material contractual obligations are the obligations to deliver on time and free of defects, which are intended to enable the client to use the delivery item in accordance with the contract or to protect the life and limb of persons of the client or third parties or the property of the client from significant damage.
3. Insofar as the Seller is liable for damages on the merits pursuant to § 7 (2.), this liability shall be limited to damages which the Seller foresaw as a possible consequence of a breach of contract upon conclusion of the contract or which the Seller should have foreseen by exercising due care, taking into account the circumstances of which it was aware or which it should have been aware. Indirect damage and consequential damage resulting from defects in the delivery item are also only eligible for compensation if such damage is typically to be expected when the delivery item is used as intended.
4. In the event of liability for simple negligence, the Seller's obligation to pay compensation for damage to property or personal injury shall be limited to an amount of € 1,000,000.00 per claim (corresponding to the current sum insured under its product liability insurance or liability insurance), even if this involves a breach of material contractual obligations.
5. The aforementioned exclusions and limitations of liability shall apply to the same extent in favor of the executive bodies, legal representatives, employees and other vicarious agents of the seller.
6. Insofar as the seller acts in an advisory capacity and this advice is not part of the contractually agreed scope of services owed by him, this is done free of charge and to the exclusion of any liability.
7. The limitations of this § 7 do not apply to the Seller's liability for willful conduct, for guaranteed characteristics, for injury to life, limb or health or under the Product Liability Act.
8. If the buyer withdraws from the purchase after a period of 10 days after the order and confirmation date, the buyer shall bear the additional costs incurred as a result.
§ 8 Retention of title
1. The retention of title agreed below serves to secure all existing current and future claims of the seller against the buyer arising from the supply relationship between the contracting parties (including balance claims from a current account relationship limited to this supply relationship).
2. The goods delivered by the seller to the customer shall remain the property of the seller until all secured claims have been paid in full. The goods and the goods covered by the retention of title which take their place in accordance with this clause are hereinafter referred to as reserved goods.
3. The customer shall store the reserved goods free of charge for the seller.
4. The client shall be entitled to process and sell the goods subject to retention of title in the ordinary course of business until the event of realization (para. 9) occurs. Pledges and transfers by way of security are not permitted.
5. Wird die Vorbehaltsware vom Auftraggeber verarbeitet, so wird vereinbart, dass die Verarbeitung im Namen und für Rechnung des Verkäufers als Hersteller erfolgt und der Verkäufer unmittelbar das Eigentum oder – wenn die Verarbeitung aus Stoffen mehrere Eigentümer erfolgt oder der Wert der verarbeitenden Sache höher ist als der Wert der Vorbehaltsware – das Miteigentum (Bruchteilseigentum) an der neu geschaffenen Sache im Verhältnis des Wert der Vorbehaltsware zum Wert der neu geschaffenen Sache erwirbt. Für den Fall, dass kein solcher Eigentumserwerb beim Verkäufer eintreten sollte, überträgt der Auftraggeber bereits jetzt sein künftiges Eigentum oder – im oben genannten Verhältnis – Miteigentum an der neu geschaffenen Sache zur Sicherheit an den Verkäufer. Wird die Vorbehaltsware mit anderen Sachen zu einer einheitlichen Sache verbunden oder untrennbar vermischt und ist eine der anderen Sachen als Hauptsache anzusehen, so überträgt der Verkäufer, soweit die Hauptsache ihm gehört, dem Auftraggeber anteilig das Miteigentum an der einheitlichen Sache in dem in Satz 1 genannten Verhältnis.
6. Im Fall der Weiterveräußerung der Vorbehaltsware tritt der Auftraggeber bereits jetzt sicherungshalber die hieraus entstehende Forderung gegen den Erwerber – bei Miteigentum des Verkäufers an der Vorbehaltsware anteilig entsprechend dem Miteigentumsanteil – an den Verkäufer ab. Gleiches gilt für sonstige Forderungen, die an die Stelle der Vorbehaltsware treten oder sonst hinsichtlich der Vorbehaltsware entstehen, wie z.B. Versicherungsansprüche oder Ansprüche aus unerlaubter Handlung, bei Verlust oder Zerstörung. Der Verkäufer ermächtigt den Auftraggeber widerruflich, die an den Verkäufer abgetretenen Forderungen im eigenen Namen für Rechnung des Verkäufers einzuziehen. Der Verkäufer darf diese Einzugsermächtigung nur im Verwertungsfall widerrufen.
7. If third parties seize the goods subject to retention of title, in particular by attachment, the Client shall immediately inform them of the Seller's ownership and inform the Seller thereof in order to enable the Seller to enforce its ownership rights. If the third party is not in a position to reimburse the Seller for the judicial or extrajudicial costs incurred in this connection, the Client shall be liable to the Seller for these costs.
8. The seller shall release the goods subject to retention of title and the items or claims taking their place upon request at his discretion if their value exceeds the amount of the secured claims by more than 50 %.
9. Tritt der Verkäufer bei vertragswidrigem Verhalten des Auftraggebers – Zahlungsverzug – vom Vertrag zurück (Verwertungsfall), ist er berechtigt die Vorbehaltsware herauszuverlangen.
§ 9 Packaging / empties
1. We always calculate the net weight or the net content.

In the case of delivery in returnable packaging, and this also applies to pallets of any kind, the quantity delivered must be exchanged immediately upon delivery for returnable packaging and/or pallets in perfect and clean condition. If this is not possible, the customer must ensure that the return of this returnable packaging is made to the seller, carriage paid, within one month of delivery at the latest. After the expiry of one month, the empties may be invoiced by the seller or a reasonable rent may be charged. The returnable packaging supplied by the seller may not be filled with other goods or used in any other way.
§ 10 Other provisions
Should individual provisions of these General Terms and Conditions of Sale and Delivery or of the concluded order be legally invalid or become legally invalid during the term of the contract due to statutory provisions or official decisions, this shall not affect the validity of the remaining provisions. In place of the invalid provision, that provision shall be deemed to have been agreed between the contracting parties which, from an economic point of view, most closely corresponds to the invalid provision in a legally permissible manner.

The Client acknowledges that the Seller stores data from the contractual relationship in accordance with Section 28 of the German Federal Data Protection Act for the purpose of data processing and reserves the right to transfer the data to third parties (e.g. insurance companies) to the extent necessary for the fulfillment of the contract.
